Welcome to Sonusly. Sonusly is an independent music-industry discussion platform where people can create public posts, reply to discussions, use AI-assisted features, import supported shared conversations, browse opportunities, save discussions, vote, flag content, tip helpful replies with in-app credits, and use other related features.
These Terms of Service ("Terms") govern your access to and use of Sonusly, including sonusly.com and related websites, features, tools, and services (the "Services").
Please read these Terms carefully. By using Sonusly, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Sonusly.

You must be at least 18 years old to use Sonusly. If you are under 18, you may not create an account, submit content, use AI features, buy credits, tip, publish jobs, or otherwise use the Services.
You may not use Sonusly if you are legally prohibited from doing so or if we have previously suspended or removed your account for serious or repeated violations.
Some features require an account, including creating posts, replying, voting, saving, flagging, tipping, buying credits, using paid AI features, and publishing job opportunities.
You are responsible for your account and for all activity under it. You agree to provide accurate information, keep login credentials secure, and notify us if you suspect unauthorized access.
Sonusly is built around public discussion. Public posts, public replies, public AI replies, usernames, profile information, karma, saved public posts, job posts, vote totals, comment counts, source links, and other public activity may be visible to anyone.
Public content may be indexed by search engines, crawled by third-party services, quoted by other users, archived, cached, screenshotted, or appear in external tools and AI search or chatbot results.
Do not post passwords, private keys, confidential business information, private contracts, unreleased plans, personal data you do not have permission to share, or content you do not have the right to use.
Private AI follow-ups are not shown publicly in the product, but they are still processed by Sonusly infrastructure, Vercel AI Gateway, and selected model providers as described in our Privacy Policy.
"User Content" means content you submit, upload, import, publish, or otherwise provide to Sonusly, including posts, comments, replies, profile bio, job posts, imported conversation text, prompts, feedback, flags, reports, and other submitted material.
You keep ownership of your User Content. You are responsible for your User Content and must have all rights needed to provide it to Sonusly.
By submitting User Content, you grant Sonusly a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, publish, distribute, format, modify for technical or safety reasons, and otherwise use that content only as needed to operate, provide, protect, moderate, improve, and promote Sonusly.
For public content, this license allows us to display the content publicly, show it in feeds, rankings, search, profiles, notifications, previews, social or SEO snippets, and related Sonusly features. This license continues for as long as the content remains on Sonusly and for a reasonable time afterward in backups, logs, caches, moderation records, legal records, or places where the content has already been shared, quoted, indexed, or technically distributed.
We do not claim ownership of music, recordings, lyrics, trademarks, artist names, company names, or other third-party rights merely because users discuss them on Sonusly.
Sonusly may allow you to import supported shared links, including ChatGPT shared links, and turn them into public discussion content.
By importing a conversation, you confirm that:
We may reject, limit, transform, moderate, hide, or remove imports that appear off-topic, unsafe, unlawful, infringing, private, spammy, low-quality, or unsuitable for public discussion.
Sonusly offers AI-assisted features, such as AI-assisted posts, private AI follow-ups, extra AI replies, imported conversation transformation, and optional web or search-assisted AI features. AI replies are intended to be labeled or identifiable as AI-generated in the product.
AI features may process prompts, post text, comments, source material, imported conversation content, role templates, system instructions, usage metadata, and other context needed to produce a response.
Sonusly currently uses Vercel AI SDK and Vercel AI Gateway to route AI requests to supported model providers. Depending on the selected feature, model, provider, fallback, and configuration, AI requests may be processed by Vercel, the selected AI model provider, and related infrastructure providers.
Sonusly may offer in-app credits. Credits can be used for paid AI actions, tips, and other supported features. Credits are not money, stored value, gift cards, cryptocurrency, property, or a bank account. Credits cannot be redeemed for cash, transferred outside Sonusly, sold by users, or exchanged except through supported Sonusly features.
Credit purchases are handled through third-party checkout providers such as Polar. Your purchase may also be subject to the checkout provider's terms and policies.
Where consumer protection laws give you refund, cancellation, or withdrawal rights, those rights remain available to the extent required by law. Digital credits and AI actions may be delivered immediately. Where permitted by law, the checkout or product flow may ask you to consent to immediate delivery and acknowledge that using credits or receiving a completed digital service may affect your ability to cancel or withdraw from a purchase after delivery.

Sonusly may allow users to publish music-industry jobs, gigs, collaborations, internships, freelance opportunities, and similar listings. Job posts are User Content.
Sonusly does not screen, verify, endorse, guarantee, employ, represent, or act as an agent for any job poster, employer, applicant, or opportunity.
Location suggestions may use the Countries States Cities Database by dr5hn, licensed under ODbL 1.0.
Use Sonusly in good faith. Be useful, honest, and on topic.
You may not use Sonusly to:
We may publish separate community guidelines or feature-specific rules. Those rules are part of these Terms when they apply to your use of the relevant feature.
You can report content, accounts, or job listings through available product controls or by emailing contact@sonusly.com with the subject "content report". Include the relevant URL, the reason for the report, and any context that helps us review it.
For notices about illegal content, contact us at contact@sonusly.com with the subject "illegal content". Include the relevant URL, an explanation of why you believe the content is illegal, the legal basis or context if you know it, your contact details, and a statement that your notice is accurate and submitted in good faith.
This email also serves as Sonusly's single point of contact for Digital Services Act communications unless we publish a more specific contact point. Sonusly accepts DSA-related communications in English and Italian.
We may review, flag, hide, remove, restrict, archive, preserve, or refuse content and accounts when we believe it is appropriate to operate Sonusly, enforce these Terms, reduce abuse, protect users, protect providers, comply with law, or preserve service integrity.
We are not obligated to monitor all content and we do not endorse user content. Where practical, we may provide notice or an opportunity to appeal. We may withhold notice when doing so would create risk, reveal detection methods, interfere with an investigation, or violate law.
To appeal a moderation decision, email contact@sonusly.com with the subject "moderation appeal" and include your account email, username, relevant URL, and why you believe the decision should be changed.
We may preserve records where needed for security, abuse prevention, legal compliance, dispute resolution, payment reconciliation, moderation integrity, or service integrity.
Sonusly, including its software, design, interface, branding, product copy, logos, and original features, is owned by Sonusly or its licensors and is protected by intellectual-property laws.
You may not copy, modify, distribute, sell, reverse engineer, or create derivative products from Sonusly except as allowed by law or with our written permission.

If you believe your content was removed by mistake, email contact@sonusly.com with the subject "copyright counter-notice". We may remove allegedly infringing content and may terminate repeat infringers where appropriate.
Sonusly relies on third-party services, which may include Supabase, Vercel, Vercel AI Gateway, AI model providers, Polar, LinkedIn, Google Analytics, public source websites, job application links, and other providers.
Third-party services are not controlled by Sonusly. We are not responsible for third-party websites, products, services, availability, policies, security incidents, fees, content, or AI output.
Your use of third-party checkout, OAuth, job application links, public sources, AI providers, or external websites may be governed by those third parties' own terms and privacy policies.
We may change, suspend, limit, or discontinue any part of Sonusly, including feeds, ranking, AI features, credit costs, job features, profile features, saved posts, moderation tools, rate limits, provider choices, and storage practices.
We will try to avoid changes that unfairly harm users who have already bought credits, but we do not guarantee that every feature will remain available forever.
Our Privacy Policy explains how we collect, use, disclose, retain, and protect information.
By using Sonusly, you understand that public content is public and that AI, checkout, analytics, hosting, authentication, and database providers may process information needed to operate the Services.
Sonusly is provided "as is" and "as available."
To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and security.
We do not guarantee that:
You use Sonusly, AI output, public content, job posts, links, and third-party services at your own risk. Nothing in these Terms excludes or limits rights that cannot be excluded or limited under applicable law.
To the maximum extent permitted by law, Sonusly and its operators will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages; lost profits; lost data; reputational harm; business interruption; AI output; user content; payment-provider issues; third-party services; unauthorized access; or inability to use the Services.
To the maximum extent permitted by law, Sonusly's total liability for any claim will not exceed the greater of the amount you paid Sonusly for credits in the 12 months before the claim or EUR 100.
Some jurisdictions do not allow certain limitations, so some limits may not apply to you.
If you use Sonusly on behalf of a business, organization, employer, client, or other legal entity, you agree to defend, indemnify, and hold harmless Sonusly and its operators from claims, damages, liabilities, losses, and expenses arising from your use of the Services, your User Content, your job posts, your imported conversations, your violation of these Terms, your violation of law, or your violation of another person's rights.
For individual consumers, this section applies only to the extent permitted by applicable law.
You may stop using Sonusly at any time. To request account deletion, email contact@sonusly.com with the subject "account deletion". We may need to verify your identity before acting on the request.
When an account is deleted, we may delete or anonymize account information. Public content may remain visible in anonymized form where needed to preserve public discussion context, moderation integrity, security, legal compliance, or the rights of other users.
We may suspend, restrict, or terminate access when we believe it is appropriate under these Terms.
Sections that by their nature should survive termination will survive, including public content licenses, payment reconciliation, moderation records, disclaimers, limitation of liability, indemnity, legal compliance, and dispute provisions.

These Terms are governed by the laws of Italy, without prejudice to mandatory consumer protection rights that may apply in your country of residence.
Courts located in Italy will have jurisdiction, unless applicable law gives you the right to bring a claim elsewhere.
We may update these Terms as Sonusly, providers, features, laws, or business needs change. Updated Terms are effective when posted unless a later date is stated. Material changes may be communicated by email, in-product notice, or another reasonable method before or when they take effect, where required. Your continued use of Sonusly after updated Terms become effective means you accept the updated Terms.
